Terms of Use.

Agreement and operator

These Terms of Use are an agreement between you and Base Cardio LLC covering the Base iPhone app, Apple Watch app, widgets, complications, website, and related services. By downloading, purchasing, or using Base, you agree to these Terms. If you do not agree, do not use Base.

Apple’s license terms

Apple’s Standard Licensed Application End User License Agreement also applies to Base and governs the license to the app. These Terms supplement that agreement. If there is a conflict concerning the app license, Apple’s standard agreement controls unless mandatory law requires otherwise.

Eligibility

You must be at least 13 years old to use Base. If you have not reached the age of majority where you live, a parent or legal guardian must review and agree to these Terms for you. Base is not directed to children under 13.

Base Pro purchases

Base may offer monthly and annual auto-renewing subscriptions and a lifetime one-time purchase. Features and the price in your local currency are shown in Base and confirmed by Apple before you purchase. Taxes may apply. The lifetime option is a non-consumable purchase and does not automatically renew.

Purchases are associated with your Apple Account and are for personal, non-transferable use. Use Restore Purchases in Base when you need the app to ask Apple to restore an eligible purchase.

14-day free trial

Eligible new subscribers may receive a 14-day free trial on a monthly or annual subscription. Eligibility is determined by Apple and is generally available once per subscription group. The purchase screen shows whether you are eligible and the price that applies after the trial.

If you do not cancel before the trial ends, the selected subscription begins and Apple charges the price shown at confirmation. A lifetime purchase has no free trial because it is a one-time purchase.

Renewal and cancellation

A monthly or annual subscription automatically renews for another billing period unless you cancel it through your Apple Account before renewal. To avoid a renewal charge, Apple generally requires cancellation at least 24 hours before the current period ends. Deleting Base does not cancel a subscription.

You can manage or cancel a subscription in your device’s Apple Account subscription settings. Cancellation stops future renewals; access ordinarily continues through the paid period, subject to Apple’s rules and applicable law.

Billing, refunds, and price changes

Apple processes billing, payment credentials, subscription management, and refunds. Base Cardio LLC does not receive your payment-card information. Refund requests must be made through Apple’s Report a Problem service or Apple Support and are decided under Apple’s rules and applicable consumer law.

If subscription price changes apply to you, Apple will provide any notice or request any consent required by its rules or applicable law. The changed price applies only as permitted by that notice and law. Nothing in these Terms limits refund, cancellation, withdrawal, or consumer rights that cannot legally be waived.

Health and fitness information

Base is a fitness tracking tool. It is not a medical device, does not provide medical advice, and does not diagnose, prevent, monitor, predict, treat, or cure any condition. Heart-rate ranges, activity classifications, estimates, and other results may be incomplete or inaccurate because sensors, Apple Health data, device availability, settings, and individual physiology vary.

Do not use Base for emergencies or medical decisions. Stop exercising and seek appropriate professional or emergency help if you feel unwell. Consult a qualified healthcare professional before changing an exercise program, particularly if you have a health condition or concern.

Privacy

Our Privacy Notice explains Base’s general information practices. Our separate Consumer Health Data Privacy Policy explains Base’s on-device handling of Apple Health information and the workout you explicitly start in Base that is saved to Apple Health.

Acceptable use

You may use Base only for lawful, personal purposes. You may not interfere with the service, bypass purchase controls, introduce malicious code, misuse another person’s information, or copy, resell, redistribute, reverse engineer, or exploit Base except where applicable law expressly permits that activity despite this restriction.

Availability and changes

We may maintain, update, add, remove, suspend, or discontinue features to improve Base, address security or legal requirements, or respond to platform changes. We do not promise that every feature will always be available on every device or operating-system version. We will honor non-waivable consumer rights and provide notice where required.

Disclaimers and liability

To the maximum extent permitted by law, Base is provided “as is” and “as available.” We disclaim implied warranties that may lawfully be disclaimed and do not guarantee uninterrupted availability, error-free operation, a particular fitness result, or the completeness of Apple Health information.

To the maximum extent permitted by law, Base Cardio LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from Base. These limits do not apply where prohibited, including to liability or consumer guarantees that cannot legally be excluded.

Governing law and consumer rights

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. This choice does not deprive you of mandatory consumer rights or protections that apply in the country, state, province, or territory where you live.

Changes and contact

We may update these Terms. We will post the revised Terms with a new effective date and provide additional notice where required. Material changes apply prospectively unless law permits otherwise.
